End-User License Agreement (EULA)
Effective Date: September 14, 2025
This End-User License Agreement (“Agreement” or “License”) governs the use of font software and related digital products (“Products”) purchased or downloaded from Studio Funshop LLC (“Company,” “we,” “our,” or “us”), an Ohio limited liability company.

By purchasing, downloading, installing, or using Products, you (“you” or “User”) agree to be bound by this Agreement. If you are accepting this Agreement on behalf of an entity, you represent and warrant that you have authority to bind that entity.
Note: Each section contains a non-binding plain-English summary for clarity. The full legal terms control in the event of a conflict.
1. Grant of License & Use of Products
Legal Terms:
- The Products are licensed, not sold. You obtain a limited, non-exclusive, non-transferable right to use the Products as described in the License Directory below.
- Prohibited uses include: resale, redistribution, sub-licensing, modification to create new fonts, embedding in unlicensed contexts, or use with AI/ML training datasets.
- Offensive, defamatory, discriminatory, or unlawful use is prohibited.
Plain English:
You don’t own the fonts—you’re just buying permission to use them in certain ways. Don’t resell, share, or misuse them.
2. Intellectual Property
Legal Terms:
- All intellectual property rights in the Products remain with the Company.
- You may not claim ownership or authorship of the Products.
- You may create one backup copy for archival purposes only.
- Plain English:
The fonts belong to Studio Funshop. You’re renting usage rights, not buying the fonts themselves.
3. Transfers
Legal Terms:
- You may only transfer a license if: (a) the recipient agrees to this Agreement, and (b) you delete all copies in your possession.
- Transfers are permitted only to (i) a client on whose behalf you purchased the license, or (ii) as part of a company acquisition/merger.
Plain English:
You can’t just give fonts away. If you transfer them, you must delete your copy and ensure the new user follows these same rules.
4. Attribution
Legal Terms:
- Attribution is not required but you can if you want.

You don’t have to credit us, but if you do, here’s how.
5. Audit Rights
Legal Terms:
- The Company may request proof of compliance, including samples of your use.
- Failure to provide proof may result in termination of your license and additional fees.
Plain English:
We may ask to see how you’re using the fonts to make sure everything’s above board.
6. License Directory
Below are the permitted and prohibited uses by license type. One license = one seat, unless otherwise specified.
Desktop License
✅ Permitted: Logos, packaging, print, social media, rasterized game graphics, ads, physical products
❌ Prohibited: Resale, embedding, shared servers, creating new fonts/templates

Web License
✅ Permitted: Embed on one website
❌ Prohibited: Templates, games, Canva, or multiple sites without additional licenses

App License
✅ Permitted: Embedding in one mobile or web app (non-extractable)

Ebook License
✅ Permitted: One digital book, magazine, or e-greeting card

Server License

7. Termination
Legal Terms:
- This Agreement terminates automatically upon breach.
- Upon termination, you must delete all copies of the Products.
- Termination does not waive Company’s right to seek damages.
- Plain English:
Break the rules and you lose the license—and may owe us damages.
8. Disclaimers & Limitation of Liability
Legal Terms:
- Products are provided “AS IS” without warranties of merchantability, fitness for a particular purpose, or non-infringement.
- To the fullest extent permitted by law, Company shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, including lost profits, lost data, or business interruption, arising from use or inability to use the Products, even if advised of the possibility of such damages.
- Liability Cap: For all license types, Company’s total liability shall not exceed the lesser of (a) the total license fees paid for the applicable Product, or (b) one thousand U.S. dollars (USD $1,000).
- Nothing in this Agreement excludes liability for willful misconduct, gross negligence, or any liability that cannot legally be limited under applicable law.
Plain English:
We don’t guarantee the fonts will work perfectly everywhere. If something goes wrong, the most we’ll ever owe you is what you paid — and no matter what, our liability will never exceed $1,000.
9. Governing Law & Venue
Legal Terms:
- This Agreement is governed by Ohio law and U.S. federal law.
- Any disputes must be resolved in state or federal courts located in Ohio.
Plain English:
If there’s a legal dispute, it’ll be handled in Ohio.
10. Entire Agreement
This Agreement, together with the Company’s Terms of Use and Privacy Policy, constitutes the entire agreement between you and Studio Funshop LLC regarding the Products.
